Šulija & Partners Law Firm Vilnius acted as lead counsel to GetJet Airlines on the finance lease and subsequent acquisition of two Boeing 737-800 aircraft from one of the world’s largest aircraft leasing and management companies. The mandate included negotiation of finance lease documentation, acquisition terms, and delivery conditions, as well as coordination of multi-jurisdictional closing procedures across several jurisdictions and stakeholders.

The transaction required structuring to align financing and regulatory requirements with the airline’s fleet strategy, ensuring a smooth transition from lease to ownership.

Following the aircraft acquisitions, the firm further advised on the sale of two CFM56-7B26 engines to a world-class lessor. This multi-million-dollar, partial back-to-back transaction involved complex cross-border elements, with documentation governed by English law and compliance ensured under Lithuanian and international aviation law.

Our role encompassed drafting and negotiating the Engine Sale Agreement, Bills of Sale, and all ancillary documentation standard for engine sale transactions, demonstrating the firm’s expertise in providing end-to-end support for large-scale aviation finance, leasing, and asset disposal projects.
