A network partner of one of the largest insurance broker company in the world acquired 100% shares of a local Lithuanian insurance brokers company. The transaction contained certain extraordinary post-closing obligations of the acquiring company with respect to future management of the company being acquired.
The law firm advised on structuring the transaction, liaised with the stakeholders of acquired entity, drafted the Share Sale and Purchase Agreement and all supporting transaction documents and assisted the client in properly recording the interests of the new shareholder.
